Terms of Service

Effective Date: August 2, 2024

By accessing or using the mgPass service ("mgPass," "Service"), whether through the web interface at https://pass.mediageneral.digital or any other means, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Service. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the modified Terms.

mgPass is a centralized login, identity, and access management service provided by MG Digital. It allows users to create a single account for access to various websites, applications, and services operated by MG Digital, its clients, and partners. The Service may include features such as single sign-on, password management, and two-factor authentication.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are under 18 or do not have the legal capacity to enter into a binding agreement, you may not use the Service.  

4.1 Account Registration: To use mgPass, you must create an account by providing accurate and complete information, including your name, email address, and a password. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.  

4.2 Account Security: You agree to notify MG Digital immediately of any unauthorized use of your account or any other breach of security. MG Digital will not be liable for any loss or damage arising from your failure to comply with this section.

4.3 Account Termination: You may terminate your account at any time by following the instructions provided in the Service or by contacting MG Digital. MG Digital may terminate or suspend your account at any time, with or without cause, and without notice, for any reason, including but not limited to your violation of these Terms.

Your use of mgPass is subject to MG Digital's Privacy Policy, which can be found at Privacy Policy. The Privacy Policy describes how MG Digital collects, uses, discloses, and protects your personal information. By using the Service, you consent to MG Digital's collection, use, and disclosure of your personal information as described in the Privacy Policy.

6.1 Ownership: MG Digital or its licensors own all right, title, and interest in and to the Service, including all software, content, graphics, designs, trademarks, and other materials. These Terms do not grant you any rights to the Service or any of MG Digital's intellectual property, except for the limited licence to use the Service as expressly permitted in these Terms.

6.2 Limited Licence: MG Digital grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial purposes, subject to your compliance with these Terms.  

6.3 Restrictions: You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or disassemble any part of the Service, or attempt to derive the source code of the software underlying the Service. You may not use the Service in any way that could damage, disable, overburden, or impair MG Digital's servers or networks, or interfere with any other party's use and enjoyment of the Service.

You agree not to:

  • 7.1 Use the Service for any illegal, harmful, fraudulent, or unauthorized purpose.
  • 7.2 Violate any applicable local, national, or international laws or regulations. 7.3 Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • 7.4 Interfere with or disrupt the operation of the Service or the servers or networks used to make the Service available. 7.5 Transmit any viruses, worms, malware, or other harmful or destructive code.
  • 7.6 Collect or store personal information about other users of the Service without their consent.
  • 7.7 Engage in any activity that could harm, disable, overburden, or impair MG Digital's servers or networks, or interfere with any other party's use and enjoyment of the Service.

MG Digital reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and without notice, for any reason, including but not limited to your violation of these Terms. Upon termination, your right to use the Service will immediately cease.  

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MG DIGITAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.  

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MG DIGITAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.  

You agree to indemnify, defend, and hold harmless MG Digital, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any rights of another.  

These Terms and any dispute arising out of or related to these Terms or the Service will be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of laws provisions. Any dispute arising out of or related to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Ghana.

MG Digital may modify these Terms at any time, in its sole discretion. If MG Digital makes any material changes to these Terms, it will notify you by email or through the Service. Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of the modified Terms.
